Terms of Use for all users

Definitions

How we may change these terms: We may change these terms from time to time. We will give you notice if the changes are not urgent.
Changes to Infinit or disruptions in service: We may make changes to Infinit from time to time. Infinit may also be unavailable from time to time.
Registering with Infiit: Partners require an email, password, and Stripe account. Members require an email.
Your commitment to us: give us accurate information and follow our rules.
Content Moderation: We can review and suspend access to your content.
Account Termination: We can terminate your account for not following our rules.
What Infinit is not responsible for: content views, your interactions with Users, plus more.
Intellectual Property rights: you remain owner of your content but we have the ability to share and display it.
Linking and Domain Name policy: don’t pretend to be Infinit when linking to our site or promoting your page.
How to delete your account: start the process from your user account settings. Timelines for deleting accounts vary depending on if you have a Partner or Member account.
Liability: Infinit is not liable for your actions, you promise to indemnify us of any claims and damages resulting from your actions.
General terms: we can transfer our rights under these terms to others but you can’t. All disputes must be addressed in Ontario, Canada.

Terms of Use for Members

What you need to know: these rules apply to Members, so do the terms for all users
Other rules: there are other rules that apply to you
Your promise to us: you’ll provide any additional information we may request
Content rules for Members: you own or have permission to post the content associated with your account
Payment and subscription rules: you will need to purchase credits from Infinit which you will then use to subscribe to Partner content
Suspensions: we can suspend your account for not following our rules

What you need to know: these rules apply to Partners, so do the Terms for All Users
Other rules: there are other rules that apply to you
Setting up your Partner account: Partners require an email, password, and Stripe account
Partner responsibilities: Infinit is not liable for your actions, you promise to indemnify us of any claims and damages resulting from your actions.
Pricing: Partners can set their own pricing within our platform guidelines (1-25 credits per month)
How Partners get paid: 30% for Infinit, 70% for Partners
Tax Guidelines for Partners: You are responsible for your taxes, consult with a tax professional

Terms of use for all users

Definitions:
1. "Infinit" means our website (www.trynfinit.app), mobile and desktop applications (if applicable), APIs, and any other digital platforms, services, or properties owned or operated by Infinit Wellness Inc. or its subsidiaries, whether existing now or developed in the future;
2. "We/our/us" refers to Infinit Wellness Inc., the operator of Infinit;
3. "Content" means any material uploaded by Users
4. "Partner" means a user who has been approved for and maintains a partner account on Infinit, allowing them to post content, interact with Members, and potentially earn money through the platform;
5. "Member" is a User who has a member account. Members typically follow and/or subscribe to Partners and view their content;
6. "Member" means a User who has registered for a member account on Infinit. Members can follow Partners for free, subscribe to Partners for a fee, view and interact with Partner content, and may have the ability to purchase additional content or services from Partners;
7. "Member Payment" is any payment from a Member to a Partner
8. "Space" means the unique profile page assigned to each Partner on Infinit, where Partners can showcase and manage their content, interact with Members, and to which Members can subscribe to access the Partner's content;
9. "Membership" is a Member's subscription to a Partner's Space;
10. "Terms of Service" is your complete agreement with us which includes:
  1. (i) these Terms of Use for all Users;
  2. (ii) Terms of Use for Members;
  3. (iii) Terms of Use for Partners;
  4. (iv) Privacy Policy;
  5. (v) Acceptable Use Policy; and,
  6. (vi) Complaints Policy;
11. "User" means anyone who uses Infinit (you)
Who we are and how to contact us: We are Infinit Wellness Inc., a corporation with a registered office located in Toronto, Ontario, Canada. We may be contacted via email: hello@myinfinit.app.
How we may change the Terms of Service:
1. We may change the Terms of Service without notice to you for legal reasons or urgent security issues that impact Infinit or its Users;
2. We may also make changes to the Terms of Service for other reasons. We will give you notice of these changes.
3. If you don’t agree to any changes, you may end your use of Infinit (without refund) prior to the changes taking effect. You will be bound by the changes once they are in effect.
Changes to Infinit or disruptions in service: We may update or change Infinit anytime. We don’t guarantee that Infinit will always be available/accessible. We will try to give you notice of major changes to Infinit or of Infinit’s unavailability.
Registering with Infinit: To use Infinit, you need to create an account. Here's what you need to know:
1. Account Creation:
  1. Partner Accounts:
    1. Provide a valid email address
    2. Set a unique password that meets our security requirements
    3. Create a Partner Space
    4. Choose your subscription tier
    5. Setup your payout account with Stripe including providing your business registration number and name
  2. Member Accounts:
    1. Provide a valid email address
2. Additional Information:
  1. We may ask for extra information or verification

Important: If you don't meet these requirements, you cannot use Infinit.

Your Commitments to Us:

When you use Infinit, you agree to:

Account History:
1. Confirm your previous account (if any) wasn't suspended for violating our rules
Accurate Information:
1. Provide truthful and complete information
2. Keep your information up-to-date
Communication:
1. Allow us to contact you electronically (email, account messages)
2. Accept our data processing practices as explained in our Privacy Policy
Account Security:
1. Keep your login details secret and secure
2. Contact support@myinfinit.app if you suspect unauthorized access
3. Log out after each session, especially on shared computers
Account Responsibility:
1. You're responsible for all activity on your account, even if someone else uses it
Rule Compliance:
1. Follow all our terms, policies, and guidelines

Content Moderation:

  1. We can review your content for compliance with our rules and the law
  2. We may suspend access to content that might violate our terms or the law
  3. You can request a review if your content is suspended by emailing support@myinfinit.app‍
  4. We may remove or reinstate content without your consent or prior notice
  5. Infinit Wellness Inc., a corporation with a registered office located in Toronto, Ontario, Canada (“Infinit”) offers a service that connects Partners with Members (all defined below) via the internet, personal computer, and mobile platforms.
  6. These Terms of Use for All Users (“Terms”) govern your use of our website, mobile apps, services, and content. If you have any questions, complaints, or need more information about these terms, our website, mobile apps, services, and content, please contact us at support@myinfinit.app.
  7. You agree to help with our investigations at your own cost
  8. We're not responsible for losses you may sustain due to content suspension or investigation
  9. Common reasons for content removal:
    i. Nudity or sexually explicit content
    ii. Illegal content
    iii. Violence or extreme content
    iv. Unsafe use of objects
- Notifications.
  10. We'll notify you if we suspend or delete your content, but not always in advance

Account Termination:
1. We can terminate your account with 30 days' notice for any reason
2. We can suspend or terminate your account immediately if:
  1. You seriously or repeatedly violate our terms
  2. You harm Infinit's reputation or cause us loss
3. We'll inform you of account suspension or termination
4. During suspension, payments and earnings may be withheld
5. After termination, we may delete your content
6. You can't access your content after account termination
7. We can investigate misuse of Infinit
8. We may share your information with law enforcement when required
What Infinit Is Not Responsible For

While we use reasonable care in providing Infinit to you, here are some things we don't take responsibility for:

Content and Views
1. We don't approve or endorse Partner content
2. User views don't represent our views
3. We don't give you rights to any content
Content Moderation
1. Partners create and choose all content, not us
2. We don't review or moderate all content
3. We're not obligated to monitor for rule violations
User Interactions
1. Follow other Users' advice at your own risk
2. We don't guarantee any earnings for Partners
Information and Compatibility
1. Our materials/content are for general information only, they are not guaranteed accurate
2. We don't promise Infinit works on all devices
3. You're responsible for your own technology setup and security protection
Technical Issues
1. We're not responsible for internet problems or your connection issues
2. We try to keep Infinit secure, but we can't promise it's bug-free
Account Security
1. We're not responsible for compromised accounts or unauthorized activities
Content Spread
1. Once posted, we can't control how others use your content
2. Deleting your account doesn't remove content others may have saved

Remember: Use Infinit responsibly and be aware of these limitations on our responsibilities.

Intellectual Property Rights and Licenses on Infinit

Ownership:
1. We own all rights to Infinit, except for content owned or licensed to Partners
2. We own and can use anonymized data about your Infinit usage
3. You confirm that you own or have the right to use all content you post on Infinit.
License to Infinit: You give Infinit permission to use your content for running the platform. This includes:
1. Displaying your content
2. Sharing it with other users
3. Modifying it (e.g., adding watermarks)
4. Creating derivative works
License Terms:
1. This permission lasts forever, even if you leave Infinit
2. We don't pay you for this permission
3. We can transfer this permission to others (e.g., if our company is sold)
4. We won't sell your content to other platforms
Copyright Protection:
1. You allow us to act on your behalf against copyright infringement. We're not obligated to do this, but we may if we choose
2. You agree to help us if we need to take action
Moral Rights:
1. You agree not to object if we modify your content (e.g. add watermarks)
2. You still own your content and can prevent unauthorized copying

Remember: By posting on Infinit, you're giving us broad rights to use your content, but you still own it.

Linking and Domain Name Policy

Linking to Infinit

General Users:
1. You can link to Infinit's homepage
2. Do it fairly and legally
3. Don't suggest Infinit endorses you
Partners:
1. Follow Infinit's and other platforms' rules when promoting your account
2. Don't pretend to be Infinit
Links on Infinit
1. We may link to other websites for your convenience
2. We're not responsible for these external sites
3. Use them at your own risk
Using Infinit in Domain Names - Partners may use Infinit in their domain names if:
1. The Partner registers the domain;
2. It redirects to their Infinit profile only; and,
3. Infinit gives written permission

To use Infinit in your domain, contact support@myinfinit.app

Remember: Breaking these rules may result in Infinit taking legal action.

How to Delete Your Account

Start the Process:
1. Go your Infinit account settings
2. Choose the option to delete your account
Deletion Timeline:
1. Members: Your account will be deleted within a reasonable time
2. Partners: Your account stays open until your Members' last paid subscription ends (your content remains accessible to Members until their subscription ends)
3. Accounts that are both Member and Partner accounts: Deleted in two stages (Member first, then Partner)
After Deletion:
1. You won't be charged anymore
2. You can't access your account or content
3. All subscriptions end and can't be renewed
4. You'll get an email confirming the deletion
Your Content:
1. We may delete or handle your content as stated in our Privacy Policy
2. You can't access your content after account deletion

Remember: Once your account is deleted, there's no way to recover your content through Infinit.

Liability
1. We're not liable for:
  1. Unforeseeable losses
  2. Your inability to use Infinit due to any technical issues on your side
  3. Your inability to use Infinit due to any technical issues
  4. Your reliance on Infinit content
  5. Your reliance on any content posted by Partners, Members, or any other users of Infinit. Follow content posted on Infinit at your own discretion.
  6. Loss of profits, sales, or data
  7. Business interruption
  8. Damage from viruses or cyber attacks
  9. Copyright infringement of your content by others
  10. Disclosure of your personal information by others ("doxing")
  11. Delays due to events beyond our control
  12. Loss of business opportunity or savings
2. Limitation on liability:
  1. In all cases, our liability is limited to $100 per claim
3. We only stand by what we explicitly promise in our Terms of Service.This means:
  1. We're not making any extra promises about Infinit or its content
  2. If we don't specifically say it in our Terms, don't assume it's guaranteed

Indemnification
1. You are solely responsible for any problems your actions, activities, and content cause us or other users. You agree to protect and defend us from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that arise due to your actions, activities, and content on Infinit. This means you'll pay for any costs or damages we face because of your use of Infinit.

General Terms
1. Partial Validity: If any part of this agreement is found to be unenforceable, the remaining parts will continue to be valid and enforceable to the fullest extent permitted by law
2. Enforcement: If we don't enforce a rule once, we can still enforce it later.
3. Rights: We keep all rights not specifically given to you.
4. No Extra Permissions: You only get the permissions clearly stated in our Terms.
5. Third Parties: This agreement is between you and us, with some exceptions for liability limits.
6. Your Agreement: You can't transfer your agreement to someone else without our permission.
7. Our Rights: We can transfer our rights or duties to others (e.g., if our company is sold).
8. Complete Agreement: These Terms replace any previous agreements about using Infinit.
9. Governing Law: The laws of Ontario, Canada apply to all disputes. All claims must be brought in Ontario, Canada.
10. Time Limit for Claims: You have 1 year to file a claim after the issue arises

By using Infinit as a Member you agree to these terms – please read them carefully. Defined terms have the same meanings as in our Terms of Use for all Users.

What You Need to Know:

These rules apply to you as a Member of Infinit. They're part of your overall agreement with us
When we say "you" or "your" in these terms, we mean you as a Member
All terms from the Terms of Use for All Users apply here too
We may change these rules from time to time. If you don’t agree to the changes, you can cancel your account without a refund.

Remember: These terms are in addition to the general Terms of Use for all Infinit users.

Other Rules You Agree To:
1. When you use Infinit, you're also agreeing to:

  3. Acceptable Use Policy - What you can and can't do on Infinit
  4. Complaints Policy - How to complain and how we'll handle it
    
    Remember: All these documents are important and part of your agreement with us, except for the Standard Contract which is between you and Partners.

Your Promises to Us:
By using Infinit, you promise that in addition to the information required by the Terms of Use for All Users, you'll provide any extra information or proof we ask for.
Content Rules for Members, Your Promises About Your Content

When you post anything on Infinit, you promise that:
1. It follows all our rules, especially our Acceptable Use Policy
2. You own it or have permission to use it
3. If you're using anything created by others, you have their permission
Your Responsibility
1. You are solely responsible for any problems your actions, activities, and content cause us or other users. You agree to protect and defend us from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that arise due to your actions, activities, and content on Infinit. This means you'll pay for any costs or damages we face because of your use of Infinit.
Our Position on Your Content
1. We don't endorse or monitor everything posted on Infinit
2. We're not responsible for what you or others post

Remember: You're in charge of what you post, so make sure it's okay to share!

Infinit's Payment and Subscription Rules

Setting Up:
1. Add a credit card to your account to purchase credits from Infinit. These credits will be used to subscribe to Partner Spaces
2. You may purchase a fixed amount of credits or purchase a credits subscription from Infinit which will auto renew

Credits don't earn interest and are non-refundable

Payment Process:
1. We use a third-party to process payments
2. You may face currency conversion fees from your bank
Subscription Renewals:
1. Infinit and Partner subscriptions auto-renew unless you turn off "Auto-Renew" or your account does not have enough credits to renew Partner subscriptions
2. You can view Partner content until the end of your paid period
Refunds and Chargebacks:
1. There are no refunds for Infinit credits
Pricing:
1. Partners set their own prices within our limits
2. Prices will be in the range of 1-25 credits per month
3. Review your settings to understand how much a credit is worth in dollars

Account Suspensions:
1. We may suspend your account if you break our rules
2. During suspension, you won't be charged for any subscriptions
3. You also won't have access to paid content during this time

Terms of use for Partners

By using Infinit as a Partner you agree to these terms – please read them carefully. Defined terms have the same meanings as in our Terms of Use for all Users.

What You Need to Know:
1. These rules apply to you as a Partner. They're part of your overall agreement with us
2. When we say "you" or "your" in these terms, we mean you as a Member
3. All terms from the Terms of Use for All Users apply here too
4. We may change these rules from time to time. If you don’t agree to the changes, you can cancel your account without a refund.

You agree to protect and defend us from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that arise due to your actions, activities, and content on Infinit. This means you'll pay for any costs or damages we face because of your use of Infinit.we face because of your actions.
Pricing:
1. Partners set their own prices within our limits
2. Prices will be in the range of 1-25 credits per month
3. Review your settings to understand how much a credit is worth in dollars
How Partners Get Paid
1. Our Fee:
  1. We take up to 30% of what Members pay you depending on your subscription tier. This covers our costs for running Infinit
2. Your Earnings:
  1. You get up to 70% of what Members pay depending on your subscription tier. We call this your "Partner Earnings". There may be additional fees associated with transferring funds.
3. Payment Schedule
  1. Partner Earnings are released on the 1st and the 15th of each month
  2. Funds will be transferred from Infinit’s Stripe account to your Stripe account. There may be additional fees associated with this transfer
4. Minimum payout
  1. To receive a payout, you must have at least $25 in payable earnings (these are net earnings after Infinit has taken its share and after accounting for any applicable fees)
5. We may keep your earnings if:
  1. Rule Breaking
    1. You seriously or repeatedly break our rules
    2. You threaten to break rules in a way that could harm us or others
  2. Suspicious Activity
    1. We suspect your earnings come from illegal or fraudulent activity
    2. This applies whether it's your activity or your Members'
  3. Legal Issues
    1. Someone else claims rights to your earnings (like a lien)
      1. Investigation
        We'll investigate the issue
        We might keep your earnings during this time
      2. After Investigation
        If we find serious problems, you might lose those earnings
        If only part of your earnings is problematic, we might release the rest
        If we suffered losses due to your actions, we might use your earnings to cover them

Tax Guidelines for Partners
1. You're responsible for your own taxes. We're not your tax advisors.
2. Get professional advice. We recommend consulting a tax professional about your specific situation
3. Follow all tax laws that apply to you

Remember: Staying tax compliant is your responsibility. If you're unsure about anything, seek professional tax advice.

Content Rules for Partners
1. Your Content is Public
  1. It's not confidential
  2. Your Members can view it for personal use
2. Your Promises About Your Content, you promise that your content:
  1. Follows all our rules
  2. Is legal for you to share
  3. Is owned by you or you have permission to use it
  4. Doesn't misuse others' property
  5. Is good quality and as you described it
3. If these promises aren't true, you're responsible for any problems it causes us. Specifically, you agree to protect us from any claims that may arise and you'll pay for any costs or damages we face because of your actions.
4. Our Position on Your Content
  1. We don't endorse or monitor everything posted
  2. We're not responsible for what you post
5. Record Keeping
  1. You're responsible for keeping records of the content you upload

Remember: You're in charge of what you post. Make sure it's legal, high-quality, and exactly as you describe it!

Advertising Rules for Partners
1. What is Advertising Content?
  1. Any content that promotes products, services, or brands for payment or self-promotion.
2. Rules for Advertising Content:
  1. Don't Include:
    1. Disrespect for human dignity
    2. Discrimination of any kind
    3. Harmful health or safety messages
    4. Environmental harm
    5. Content harmful to viewers
    6. Exploitation of inexperience
    7. Pressure to make others buy things
    8. Abuse of trust
    9. Unreasonable danger
  2. Never Advertise:
    1. Tobacco or e-cigarettes
    2. Illegal drugs
    3. Prescription medicines
    4. Illegal gambling
    5. Alcohol
    6. Sexually related products or themes
  3. Be Transparent:
    1. Always use #ad in the caption of advertising content

Remember: Keep your ads respectful, safe, and clearly labelled. When in doubt, don't post it!

Acceptable Use Policy

By using Infinit you agree to these terms – please read them carefully. Defined terms have the same meanings as in our Terms of Use for all Users.

Do not use Infinit except for your own personal use and do not sell, rent, transfer, or share your account or any content obtained from your use of Infinit to or with anyone else.
Only use Infinit in a manner and for a purpose that is lawful.
Do not upload, post, display, or publish content on Infinit that is illegal, fraudulent, defamatory, hateful, discriminatory, sexually explicit, threatening or harassing, or which encourages or promotes violence or any illegal activity.
Do not use Infinit in any way which may exploit, harm, or attempt to exploit or harm any individual under 18 years old, for example by exposing them to inappropriate content.
Do not upload, post, display, or publish content on Infinit that:
1. shows, includes or refers to any individual unless you have written documentation which confirms that all individuals shown or included or referred to in your content are at least 18 years old, and you have a written consent from each individual to use their name or images (or both) in the content;
2. shows, promotes, advertises or refers to:
  1. firearms, weapons, or any goods wholesale, possession or use is subject to prohibitions or restrictions;
  2. drugs or drug paraphernalia;
  3. self-harm or suicide;
  4. sexual content of any kind
3. contains, promotes, advertises or refers to hate speech (being content intended to vilify, humiliate, dehumanize, exclude, attack, threaten, or incite hatred, fear of, or violence against, a group or individual based on race, ethnicity, national origin, immigration status, caste, religion, sex, gender identity or expression, sexual orientation, age, disability, serious disease, veteran status, or any other protected characteristic);
4. contains or refers to anyone else's personal data or private or confidential information (for example, telephone numbers, location information (including street addresses and GPS coordinates), names, identity documents, email addresses, log-in credentials for Infinit including passwords and security questions, financial information including bank account and credit card details, biometric data, and medical records) without that person's express written consent;
Do not use Infinit to engage in misleading or deceptive conduct, or conduct that is likely to mislead or deceive any other User.
Respect the intellectual property rights of Partners, including by not recording, reproducing, sharing, communicating to the public or otherwise distributing their content without authorization.
Do not do anything that violates our or someone else's rights, including intellectual property rights (examples of which are copyright, trademarks, confidential information, and goodwill), personality rights, unfair competition, privacy, and data protection rights.
Do not impersonate us, one of our employees, another User, or any other person or company or falsely state or suggest any affiliation, endorsement, sponsorship between you and us or any other person or company.
Do not provide false account registration information or make unauthorized use of anyone else's information or content.
Do not post or cause to be posted any content which is spam, which has the intention or effect of artificially increasing any Partner's views or interactions, or which is otherwise inauthentic, repetitive, misleading or low quality.
Do not use other media or methods (for example the use of codewords or signals) to communicate anything which violates this policy.
Do not reproduce, print, distribute, attempt to download, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any content, except as permitted under the Terms of Service.
Do not knowingly introduce any viruses, trojans, worms, logic bombs or other material into content which is or may be malicious or technologically harmful.
Do not decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of Infinit.
Do not use Infinit in a way that could adversely affect our systems or security or interfere with any other User’s use of Infinit, including their ability to engage in real-time activities through Infinit.
Do not use any automated program, tool or process (such as web crawlers, robots, bots, spiders, and automated scripts) to access Infinit or any server, network or system associated with Infinit, or to extract, scrape, collect, harvest or gather content or information from Infinit.
Do not use Infinit' name, logo or any related or similar names, logos, product and service names, designs, or slogans other than in the limited ways which are expressly permitted in the Terms of Service or with our prior written agreement.
Breaches of this policy may lead to your account being suspended or terminated, and access to your earnings or credits being revoked, as set out in the Terms of Service for All Users.
We may change this policy from time to time. If you don’t agree to the changes, you can cancel your account without a refund.

Complaints Policy

Who We Are:

Infinit is run by Infinit Wellness Inc.

Who Can Complain?:

Anyone can make a complaint about Infinit, whether you're a user or not.

How to Complain:

Email support@myinfinit.app with:
1. Your name and contact details
2. Description of your complaint

1. Although we are not based in the US, we will voluntarily make all attempts to comply with the DMCA
2. If you believe any content on Infinit infringes copyrights, please:
  1. Provide a detailed description of the copyrighted work
  2. Specify where the infringing content is located on Infinit
  3. Include your full contact information
  4. Submit a statement of good faith belief that the use is unauthorized
  5. Include a statement, under penalty of perjury, that your information is accurate
  6. Send all information to support@myinfinit.app
3. Takedown Procedure
  1. Infinit will promptly remove or disable access to infringing material
  2. The affected user will be notified of the removal
  3. Infinit may terminate accounts of repeat infringers
  4. Infinit reserves the right to remove content based on infringement claims
4. Appeals
  1. Users can dispute/appeal removals by describing the removed material and its original location
  2. Include a statement of good faith belief that the material was wrongly removed
  3. Provide contact information and consent to legal jurisdiction
  4. Infinit will forward the counter-notice to the original claimant
  5. Content may be restored after 10-14 days if no legal action is taken
5. Important notes
  1. Misrepresenting facts in notices or appeals can lead to legal liability
  2. All communications must be in English
  3. Infinit reserves the right to modify this policy
False Complaints:

Don't make false or abusive complaints. If you do, we might suspend or close your account.
